None of the figures on this page was read on the filing office's own site (www.sec.state.ma.us). They were read at www.mass.gov, a government site. The researcher's notes are at the foot of the page.

Scope: a standard domestic LLC at standard processing speed, filed online where the online and paper fees differ. The figure shown is the one the cited page states; an add-on or a paper fee that the page also states is in the note under the figure, and nothing is computed from a note.

Massachusetts LLC annual tax or franchise tax

not read

Not read. No official page read today states a flat annual LLC tax or states that there is none. mass.gov describes LLCs as taxed the way they are classified federally (sole proprietorship, partnership or corporation); an LLC that elects corporate treatment pays corporate excise, which is not an LLC-specific annual tax.

Not read is not the same as no tax. It means no official page was read that says whether Massachusetts charges an LLC an annual, franchise or privilege tax separate from the report fee.

Publication requirement

not read

Not read. No official page read today states whether newspaper publication is required; the mass.gov list of steps to establish an LLC does not mention one.

Looked for and not read

  • The Corporations Division's HTML pages on sec.state.ma.us (the filing-fees page and the LLC information page) returned only a bot-protection stub to automated fetching and were not read; the same office's PDF fee schedule opened and was read instead.
  • Any annual LLC tax: not stated on the pages read.
  • Whether publication is required: not stated on the pages read.

The researcher's notes

Written by the researcher who read the pages, unedited. Field names such as due_kind are the names in this site's data file.

Two official sources agree on $500 for both the Certificate of Organization and the Annual Report: the mass.gov page (last updated March 27, 2025) and the Corporations Division fee schedule PDF (marked 'updated 3/14/22', https://www.sec.state.ma.us/divisions/corporations/download/Fee_Schedule.pdf). The fee schedule adds a $20.00 'expedite fee' to any $500 filing made by fax or electronically, so an online filing costs $520 in total; fee_usd records the $500 filing fee itself because the surcharge is named an expedite fee and the mass.gov page quotes $500. The fee schedule is four years old; the mass.gov page is the more recent confirmation.

Fees change. The state's own page is the authority: open the source link beside a figure before you file or pay. This desk is a reading of public pages. It is not legal advice and it is not tax advice.
