New York LLC filing fee
$200 to file the Articles of Organization
Note from the reading The same $200 is stated for filing by mail and the page says online filing is available; no separate online fee is stated. Expedited handling is optional and extra. Formation also triggers the publication requirement and a $50 Certificate of Publication filing (see publication).

New York LLC biennial report and due date

New York LLC annual tax or franchise tax
By rule Partnership, LLC, and LLP annual filing fee (Form IT-204-LL). Not one amount: the rule below says who pays and how much
The rule Paid to the Department of Taxation and Finance on Form IT-204-LL. $25 for an LLC treated as a disregarded entity that has income, gain, loss or deduction from New York sources. For an LLC treated as a partnership, the fee is set by a table on New York source gross income of the preceding tax year: $25 when that income is not more than $100,000 (or there was none), rising by bracket to a maximum of $4,500. An LLC that has elected to be treated as a corporation does not file this form.
Not a flat amount: the fee is a table based on New York source gross income, from $25 up to $4,500.
Note from the reading due_month_day 03-15 is the rule applied to a calendar-year LLC; the page states the rule, not the calendar date. The page was marked 'Updated: January 31, 2025'.
- Due
- on or before the 15th day of the third month following the close of the tax year (March 15 for a calendar-year LLC); no extension

Publication requirement
Required
The rule A copy of the Articles of Organization or a notice of formation must be published in two newspapers, designated by the county clerk of the county where the LLC's office is located, for six consecutive weeks. A Certificate of Publication with the newspapers' affidavits must then be filed with the Department of State with a $50 fee, within 120 days, or the LLC's authority to do business is suspended. The newspapers charge their own fees, which the state page does not quantify.

The researcher's notes
Written by the researcher who read the pages, unedited. Field names such as due_kind are the names in this site's data file.
The fee schedule (https://dos.ny.gov/fee-schedules, LLC section marked 'Rev. 3/16') agrees with the form pages: Articles of Organization $200, Certificate of Publication $50, Biennial Statement $9. The $50 Certificate of Publication fee is a one-time state filing fee on top of the $200; the generator may want to show it beside the formation fee. The annual filing fee is a tax-department fee separate from the Department of State's Biennial Statement. All values read 2026-09-28 by direct fetch of the pages.
