Scope: a standard domestic LLC at standard processing speed, filed online where the online and paper fees differ. The figure shown is the one the cited page states; an add-on or a paper fee that the page also states is in the note under the figure, and nothing is computed from a note.
Minnesota LLC filing fee
$155 to file the Articles of Organization
Note from the reading $155 online or in person (both are treated as expedited service); $135 if submitted by mail. Read on the form (LLCArticlesOfOrganization Rev. 7/1/2025); the Secretary of State's fee schedule page lists the same amounts.
“Filing Fee: $155 for expedited service in-person and online filings, $135 if submitted by mail”
Minnesota LLC annual report and due date
$0 to file the Annual Renewal, every year
Note from the reading The renewal form is headed 'Must be filed by December 31'. No fee while the entity is active and in good standing; an LLC dissolved for failing to renew pays $65 by mail or $85 online/in person to reinstate.

“There is no fee for filing the annual renewal if the entity is active and in good standing.”
Minnesota LLC annual tax or franchise tax
By rule Minimum Fee. Not one amount: the rule below says who pays and how much
The rule Applies to an LLC filing as a partnership with two or more members when its Minnesota property, payroll and sales or receipts reach the threshold. For 2026: less than $1,280,000, $0; then $260, $770, $2,560, $5,140, up to $12,830 at $51,280,000 or more. It does not apply to a single-member LLC reporting only on its member's individual return. Brackets are adjusted annually for inflation.
not a flat amount; it depends on the LLC's Minnesota property, payroll and sales
Note from the reading Determined on Form M3, Partnership Return; the return's due date was not read. Most small LLCs fall under the threshold and owe $0.

Publication requirement
not read
Not read. No official page read today states whether newspaper publication is required; the Articles of Organization form and its instructions do not mention one.

The researcher's notes
Written by the researcher who read the pages, unedited. Field names such as due_kind are the names in this site's data file.
sos.mn.gov sends a plain command-line fetch to a bot-manager page; the pages opened through the web-fetch tool and the two PDFs were read from the copies it saved. The fee schedule page (https://www.sos.mn.gov/business-liens/business-filing-and-certification-fee-schedule/) was read through that tool's rendering as a table: 'Articles of Organization - Original Filing' $135.00 by mail, $155.00 online, $155.00 in person; 'Annual Renewal' $0 in all three columns. It agrees with the forms. The Minimum Fee is conditional, not a flat annual LLC tax: tax.applies is true because the Department of Revenue says multi-member LLCs filing as partnerships are subject to it, but it is $0 below the threshold ($1,280,000 for 2026).
