Scope: a standard domestic LLC at standard processing speed, filed online where the online and paper fees differ. The figure shown is the one the cited page states; an add-on or a paper fee that the page also states is in the note under the figure, and nothing is computed from a note.

Vermont LLC filing fee

$155 to file the Articles of Organization

Note from the reading The LLC page says: 'Online filing is the preferred method. There is no extra fee for online filing.' The fee table cites 11 V.S.A. § 4012 for the fee.

Vermont LLC annual report and due date

$45 to file the Annual Report, every year

Note from the reading Tied to the LLC's own fiscal year end, not to a calendar date or the formation anniversary. The rule was read at https://sos.vermont.gov/business-services/business-filings/annualbiennial-reports : 'you must renew your business registration each fiscal year by filing an annual report within the first two and a half months (Profit Corps.) or three months (LLC/PLC/L3C) following the fiscal year end on record.' All filings are completed online; a paper check can be mailed.

Vermont LLC annual tax or franchise tax

$250 — conditional Business Entity Income Tax (minimum entity tax). Only some LLCs pay it: the rule below says which

The rule The $250 is a MINIMUM, paid with the Business Income Tax Return (form BI-471 or BI-476). The Department of Taxes says the tax applies to LLCs that elect to be taxed as partnerships or S-corporations; income otherwise passes through to the members. The page does not say how a single-member LLC disregarded for federal tax is treated.

Note from the reading Paid to the Department of Taxes, separately from the Secretary of State's annual report fee.

Not read. No official page read today states a newspaper publication requirement for an LLC, or the absence of one. The Secretary of State's LLC page does not mention publication.

  • Whether the $250 minimum entity tax is owed by a single-member LLC that is disregarded for federal tax.
  • An official statement on newspaper publication for LLCs.

The researcher's notes

Written by the researcher who read the pages, unedited. Field names such as due_kind are the names in this site's data file.

Quotes from the fee page are table cells read left to right (Filing Title, Filing Statutory Citation, Filing Fee, Fee Statutory Citation) under the heading 'DOMESTIC LIMITED LIABILITY COMPANY'. DOUBT for the reader: search results surfaced Vermont legislative documents from 2023-2025 showing older LLC fees ($35 annual report) and proposals to raise them; those were not used. The values recorded are what the Secretary of State's own fee page shows today ($155.00 and $45.00). No conflict between official pages opened today.

Fees change. The state's own page is the authority: open the source link beside a figure before you file or pay. This desk is a reading of public pages. It is not legal advice and it is not tax advice.
