What New Jersey's official pages state about the cost of a standard domestic LLC: the filing fee, the annual report and any annual tax, each with the page it was read on and the date.

Scope: a standard domestic LLC at standard processing speed, filed online where the online and paper fees differ. The figure shown is the one the cited page states; an add-on or a paper fee that the page also states is in the note under the figure, and nothing is computed from a note.

New Jersey LLC filing fee

Not settled the state's own pages say $100 and $125

No figure is shown for New Jersey, and it takes no part in any ranking of formation fees. The page cited below is one of the pages read; the note names the others.

Official pages disagree and the conflict could not be resolved: the Division's fee schedule page and its Getting Registered page say $100; the fee schedule inside the Division's own filing form instructions says $125. See researcher_notes.

The formation document is the Certificate of Formation (Public Records Filing for New Business Entity).

Official pages disagree

CONFLICT on the formation fee, unresolved. (1) https://www.nj.gov/treasury/revenue/fees.shtml ('Last Updated: Wednesday, 07/01/26'), under 'Limited Liability Company (LLC) Filing Fees': 'Certificate of formation $100.00'. (2) https://www.nj.gov/treasury/revenue/gettingregistered.shtml : 'The fee is $100 for all for-profit entities and Foreign Non-Profit corporations.' (3) https://www.nj.gov/treasury/revenue/pdf/NJ_Public_Records_Filing.pdf , the filing form's instructions, 'FEE SCHEDULE (Revised 4/20/2011)', 'BASIC FILING FEES': 'Filing fee for all domestic entities, except non-profits, is $125 per filing'. The brief says to prefer the fee schedule or the filing form; here the fee schedule says $100 and the filing form says $125, so fee_usd is null rather than a guess. The formation.source records the more recently dated of the two so the generator has a citation if the orchestrator decides to accept $100. The two web pages are newer and agree with each other; the PDF is the document a paper filer actually sends. Someone should confirm the amount on the online service's payment screen. The annual report fee has no conflict: fees.shtml, Business.NJ.gov and the Division's 2019 notice (https://www.nj.gov/treasury/revenue/pdf/Notice-Filing-Fees7-1-19-r4.pdf) all say $75. business.nj.gov answered a plain command-line fetch with HTTP 403 and was read through the web-fetch tool. The Partnership Filing Fee is conditional (more than two owners and New Jersey source income); it is recorded as tax.applies true with the rule, and does not fall on single-member or two-member LLCs.

These are the words of the researcher who read the pages. A figure shown here is the one stated by the page cited under it. Ask the office which applies before you pay.

Note from the reading Two official amounts were read today, $100 and $125; neither is recorded as the fee.

New Jersey LLC annual tax or franchise tax

By rule Partnership Filing Fee. Not one amount: the rule below says who pays and how much

The rule An LLC classified as a partnership that has more than two owners and New Jersey source income or loss pays $150 for each owner, up to a maximum of $250,000, reported on Form NJ-1065, plus one-half of that amount as a prepayment toward the next year's fee. An LLC with one or two owners does not pay it.

not a flat amount; $150 per owner

Note from the reading due_month_day applies to calendar-year filers only. There is no extension of time to pay the fee. Technical Bulletin TB-55(R) was issued July 13, 2016; the amount was not re-checked against the current NJ-1065 instructions.

Publication requirement

not read

Not read. No official page read today states whether newspaper publication is required; the Public Records Filing instructions do not mention one.

Looked for and not read

  • The formation fee actually charged by the online filing service: the payment step is reached only by completing a filing, so it was not seen.
  • Whether publication is required: not stated on the pages read.

Fees change. The state's own page is the authority: open the source link beside a figure before you file or pay. This desk is a reading of public pages. It is not legal advice and it is not tax advice.
