Scope: a standard domestic LLC at standard processing speed, filed online where the online and paper fees differ. The figure shown is the one the cited page states; an add-on or a paper fee that the page also states is in the note under the figure, and nothing is computed from a note.

Washington LLC filing fee

$180 to file the Certificate of Formation

Note from the reading $180 is the filing fee, by mail or in person. Online filing costs '$180 in addition to an online processing fee'; the amount of that processing fee is not stated on the pages read, so the online total is not recorded. An Initial Report is also required within 120 days: free if filed with the Certificate of Formation, $10 if filed later.

Washington LLC annual report and due date

$70 to file the Annual Report, every year

Note from the reading A $25 delinquency fee applies if the report is received after the expiration date ($95 in total, per the fee schedule). The due rule was read at https://www.sos.wa.gov/corporations-charities/business-entities/limited-liability-company-llc-professional-llc-pllc-filing-resource-page : 'An Annual Report is due by the business entity's expiration date, which is the last day of the month in which the business was first formed/registered with our office'. The same page says the annual report fee for profit entities 'has increased to $70'. Online filing may add the online processing fee.

Washington LLC annual tax or franchise tax

not read

Not read. No official page read today states an annual, franchise or privilege tax charged to LLCs as such. The Department of Revenue page describes the business and occupation (B&O) tax, a gross receipts tax on most businesses of any form; it is not an LLC fee and was not recorded as one.

Not read is not the same as no tax. It means no official page was read that says whether Washington charges an LLC an annual, franchise or privilege tax separate from the report fee.

Publication requirement

not read

Not read. No official page read today states a newspaper publication requirement for an LLC, or the absence of one. The Certificate of Formation form and its instructions do not mention publication.

Looked for and not read

  • The amount of the online processing fee added to online filings.
  • An official statement on whether an LLC owes any annual state tax or fee separate from the annual report fee (the B&O tax is a general gross receipts tax).
  • Any business-license fee collected with the annual report by the Department of Revenue's Business Licensing Service.
  • An official statement on newspaper publication for LLCs.

The researcher's notes

Written by the researcher who read the pages, unedited. Field names such as due_kind are the names in this site's data file.

Three official pages agree on $180 for formation: the paper form (the recorded source), the fee schedule https://www.sos.wa.gov/corporations-charities/frequently-asked-questions-faqs/fee-schedules-priority-services ('Original Filings $180' under Limited Liability Companies) and the LLC resource page ('Required Filing fees $180'). DOUBT: the schema asks for the online fee where online and paper differ. The online instructions page says 'Filing Fee: $180 in addition to an online processing fee.' and no page read gives that fee's amount, so fee_usd is the $180 filing fee and a person filing online will pay somewhat more. The annual report's due date is the last day of the formation month, recorded as due_kind 'anniversary'. The Department of Revenue page https://dor.wa.gov/taxes-rates/business-occupation-tax says 'Most businesses in Washington are subject to a gross receipts tax known as business and occupation (B&O) tax.' It is a tax on doing business in any form, not an LLC charge, so tax.applies is left null rather than true or false. Quotes from fee tables join cells left to right.

Fees change. The state's own page is the authority: open the source link beside a figure before you file or pay. This desk is a reading of public pages. It is not legal advice and it is not tax advice.
