Scope: a standard domestic LLC at standard processing speed, filed online where the online and paper fees differ. The figure shown is the one the cited page states; an add-on or a paper fee that the page also states is in the note under the figure, and nothing is computed from a note.

South Carolina LLC filing fee

$110 to file the Articles of Organization

Note from the reading Fee as listed beside the form on the Secretary of State's Business Entities Online forms list (Limited Liability Company - Domestic). Whether filing through the online system adds a processing or convenience charge was not read.

South Carolina LLC periodic report and due date

No annual report required

The page read says an LLC files no annual or periodic report in South Carolina. Its words are quoted below.

No report for an LLC that is not taxed as a corporation, so no fee.

Note from the reading In South Carolina the annual report is a Department of Revenue filing made with the corporate tax return. An LLC that is NOT taxed as a corporation is outside it. An LLC that elects to be taxed as a corporation must file the CL-1, Initial Annual Report of Corporations, within 60 days of commencing business ($25 per the Secretary of State's forms list) and then the annual report with its SC1120 or SC1120S.

South Carolina LLC annual tax or franchise tax

Does not apply Corporate License Fee

This is what the page read says about Corporate License Fee, in its own words. It is a statement about that one tax. It is not a statement that South Carolina charges an LLC no tax of any kind.

The rule The License Fee (0.1% of capital stock and paid-in surplus plus $15, minimum $25) is owed by corporations. An LLC owes it only if it is taxed as a corporation.

An LLC not taxed as a corporation is not subject to the License Fee.

Publication requirement

not read

Not read. No official page read states either that publication is required or that it is not; the Secretary of State's FAQ and forms list do not mention a publication step.

Looked for and not read

  • Any online processing charge added to the $110 when filing through Business Entities Online.
  • A Secretary of State page stating in its own words that LLCs file no annual report with that office: the statement used is the Department of Revenue's.

The researcher's notes

Written by the researcher who read the pages, unedited. Field names such as due_kind are the names in this site's data file.

report.required=false and tax.applies=false both rest on one Department of Revenue sentence, quoted with its list item joined to its lead-in: 'The following organizations, companies, and associations are not subject to the annual report or the License Fee:' followed by the list item 'A Limited Liability Company (LLC) not taxed as a corporation'. Both answers flip for an LLC that elects corporate taxation (same page: 'an LLC must file a CL-1 when they elect to be treated as a corporation for tax purposes'; 'The minimum License Fee is $25'). The page was requested at https://dor.sc.gov/tax-index/business-income-taxes/corporate/corporate-faqs and served from the URL cited.

Fees change. The state's own page is the authority: open the source link beside a figure before you file or pay. This desk is a reading of public pages. It is not legal advice and it is not tax advice.
